01The agreement
These Terms of Service ("Terms") are an agreement between G&S Accountancy Inc., which operates FirmGlyde ("FirmGlyde", "we", "us"), and the firm or organization that registers for FirmGlyde ("you", "Customer"). By creating an account, starting a subscription or using the service, you agree to these Terms, our Privacy Policy and our Refund & Cancellation Policy.
If you accept on behalf of a firm, you confirm that you have authority to bind it. If you do not agree, do not use the service.
02The service
FirmGlyde is software that helps accounting firms run their practice: bank reconciliation, firm and job management, collections, document collection, e-signatures, employee onboarding forms and related features. Features differ by plan, as described on the pricing page.
FirmGlyde is a tool, not professional advice. Using it does not create an accountant-client relationship with G&S Accountancy Inc. You remain responsible for your professional judgment, for reviewing the work the service produces, and for every filing, posting and communication made under your firm's name.
We may improve, change or retire features. If we remove a feature that is material to a paid plan, we will tell you in advance.
03Accounts and users
You must give accurate registration information and keep it up to date. Each staff user needs their own login; logins may not be shared. You are responsible for activity under your account and for keeping credentials secure. Tell us promptly at the address below if you suspect unauthorized use.
Your firm's clients, their employees and signers can use the client-facing parts of the service without a staff seat.
04Plans, billing and automatic renewal
Free plan. The Free plan costs nothing and has the limits shown on the pricing page. No payment details are needed.
Pro plan. Pro is billed per staff user ("seat") at $79 per user per month, or the price shown at checkout, in US dollars, in advance.
Automatic renewal. A Pro subscription renews automatically every month and is charged to your payment method on file at the then-current price until you cancel. By subscribing you authorize these recurring charges. Before you subscribe, checkout shows the price, the billing frequency and how to cancel. After you subscribe, we email a confirmation with the same terms and the cancellation instructions.
Seats. Adding seats increases your charge from the date they are added. Removing seats takes effect at the start of the next billing period.
Taxes. Prices exclude taxes. You are responsible for any sales, use or similar taxes that apply to your purchase.
Price changes. We will email the account owner at least 30 days before a price change takes effect. The new price applies from your next renewal after that date. If you don't want to continue, you can cancel before then.
Failed payments. If a payment fails, we will notify you and retry. If it is still unpaid after a reasonable period, we may downgrade the account to the Free plan or suspend paid features until payment is made.
05Cancellation
You can cancel at any time, online, from the billing settings in your FirmGlyde portal, or by emailing us from the account owner's address. We confirm every cancellation by email.
Cancellation stops future renewals. It takes effect at the end of the current billing period, and you keep Pro access until then. After that, the account moves to the Free plan or, if you ask, is closed.
06Refunds
Fees are charged in advance and are non-refundable except as stated in our Refund & Cancellation Policy or where the law requires a refund. We do not give refunds or credits for partial months or unused seats. Billing errors and duplicate charges are always refunded.
07California and other state renewal rights
If you are located in California or another state with automatic-renewal laws, the following applies in addition to the sections above:
- we present the automatic-renewal terms clearly and conspicuously before you subscribe, and charge you only with your affirmative consent
- we send an acknowledgment that includes the renewal terms, the cancellation policy and how to cancel
- you can cancel online, using the same medium you used to subscribe, without having to call or chat with us
- if a free trial or promotional price ever converts to a paid subscription, we will tell you before the first charge, as the law requires
- we notify you of any material change to the renewal terms before it takes effect, together with how to cancel
08Your data
You own your Customer Data: everything you and your users upload to or create in FirmGlyde, including client records, documents, statements and forms. You give us a limited license to host, process and transmit it only as needed to provide, secure and support the service, and as you instruct.
We will not sell Customer Data or use it for advertising. We may use aggregated, de-identified usage data that does not identify you or your clients to operate and improve the service.
Export. You can export your Customer Data at any time while your account is active, and for 30 days after a paid subscription ends or the account is closed. After that, we may delete it, except where the law requires us to keep it. Backups are overwritten on their normal schedule.
You are responsible for having the rights and consents needed to put Customer Data into FirmGlyde, and for meeting the professional, confidentiality and data-protection obligations that apply to your firm and your clients.
09Acceptable use
You agree not to:
- use the service in violation of law or anyone else's rights
- try to get unauthorized access to the service, other tenants' data or our systems
- introduce malware, or overload or disrupt the service with automated traffic
- resell, sublicense or reverse-engineer the service, except where the law allows
- send spam or unlawful messages through the service's email, text or call features
10Third-party services
FirmGlyde can connect to services you choose, such as QuickBooks, Stripe or an AI assistant connected through MCP. Your use of them is governed by their own terms. We are not responsible for them, and data you send to them leaves FirmGlyde under their terms.
11Intellectual property
We own FirmGlyde, including its software, design and content, apart from Customer Data. You may use the service only as these Terms allow. If you send us feedback, we may use it without any obligation to you.
12Suspension and termination
We may suspend or terminate access if you materially breach these Terms and don't fix the breach after notice, if payment is overdue, or where needed to prevent harm to the service or others. Where reasonable, we will give notice first. On termination, the export window in Your data applies.
13Disclaimers
The service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not promise the service will be uninterrupted or error-free, or that automated output (such as categorizations or reconciliations) will be correct without your review.
14Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability arising out of these Terms is limited to the fees you paid us in the 12 months before the claim. These limits do not apply where the law does not allow them.
15Indemnity
You will defend and indemnify us against third-party claims arising from your Customer Data, your use of the service in breach of these Terms, or your violation of law.
16Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will be heard in the state or federal courts located in California, except where applicable law requires otherwise.
17Changes to these Terms
We may update these Terms. We will post the new version here with a new "last updated" date, and email account owners at least 30 days before a material change takes effect. If you continue to use the service after that, the new Terms apply. If you don't agree, you may cancel before they take effect.
